1. Legolex Services

Please read the Terms and Conditions for Service Seekers carefully, as they govern the use of the LegoLex service. Do not use the service unless you wish to be bound by the Terms because, by making a Service Request and/or continuing to use any part of the LegoLex Platform, you confirm your acceptance of the Terms (which also include the Privacy Policy and the Cookie Policy). By registering on a platform and/or issuing Service Requests and/or contacting Service Providers for legal assistance, you must comply with the Terms and Conditions.

Please note that these Terms and Conditions do not apply to Service Providers, as their conduct on the LegoLex Platform is governed by the Terms and Conditions for Service Providers.

You are responsible for all compliance with all laws and regulations that apply to you.

2. Definitions

“Us”, “We” – JC LegalTech Solutions SL

“LegoLex Platform”, “Site”, “Platform”, “Platform” – LegoLex.com, LegoLex.es, LegoLex.co.uk, LegoLex.eu, and any similar domain owned by JC LegalTech Solutions.

“You” – user of the LegoLex service suite

“User terms” – terms and conditions for service search engines

“Work Package” – the services agreed to be provided between the Service Seeker and the Service Provider.

“Terms of Engagement” – the contractual relationship between the Service Seeker and the Service Provider

“Service Provider” – a user who has registered and has been validated as competent to provide services in the LegoLex legal services marketplace.

“Service Seeker” – a user who uses the LegoLex Platform to find service providers. A Service Seeker may also be a service provider and the relevant terms and conditions will apply best to a user’s activity at any time at the discretion of LegoLex’s management.

“Service Request” – a general description of the services sought by a user.

“Service Provider Fees” – the fees, costs and charges payable for the Provider’s services on an ongoing basis to LegoLex.

When we refer to you in the Terms, this also includes anyone who accesses or uses the LegoLex Platform on your behalf. The Terms include the terms set forth herein and the Privacy Policy and Cookie Policy as they are available on our Site.

The LegoLex Platform is designed to allow users to send us detailed information on matters requiring legal advice and/or assistance and to receive responses from Service Providers with an indication of the fees they charge for the provision of such advice and/or assistance and any conditions applicable to such fees.
You are responsible for accurately describing your needs for any project with respect to which you submit a Request for Services (“Projects”).

3. Fees and payment

The use of the LegoLex Platform is completely free for Service Seekers, as we only charge Service Providers for the provision of services within our Platform.

4. Disclaimers

We will do our best to make the LegoLex Platform available at all times. However, there may be occasions when access to the LegoLex Platform is interrupted, even for scheduled maintenance or upgrades, for emergency repairs or due to failures in links and/or telecommunications equipment.

Although we take steps to prevent misuse of our systems, we cannot guarantee that LegoLex is free of viruses or other malicious code and accept no liability for loss or damage caused by the transmission of such code. We recommend that you always use up-to-date firewalls and anti-malware software to protect your computers and data.

LegoLex is not a law firm, and we do not provide any legal services or legal advice.

5. Relationship between Service Seeker and Service Provider

We verify that Service Providers are registered lawyers and are correctly registered to act as legal professionals in the countries in which they provide their services through the LegoLex Platform. We do not guarantee that any individual Service Provider will have competence in the areas necessary for any particular Service Request or Work Package, Service Seekers and Service Providers must ensure that they are qualified in the general legal field relevant to their Project. Although we may generally suggest one or more Service Providers based on your request, we cannot offer any guarantee as to the legal capacity, competence or quality of the Service Providers that may be listed on the Platform. We merely make the LegoLex Platform available to you so that you can identify and determine the suitability of the Service Provider for you. We do not guarantee the accuracy, quality or completeness of any information or assistance obtained from the Service Provider. We do not direct, have no control over, or make any warranty or representation over any Service Provider.

If you accept any Service Provider Work Package for your Project, you will contract with the Service Provider. We will not be a party to the Terms of Contract between you and any Service Provider and, therefore, we will not be liable for any loss or damage resulting from any dealings between you and any Service Provider. It is your responsibility to select a suitable Service Provider and negotiate the terms of any Project to be performed by the selected Service Provider and the Terms of Contract. In all cases, you should make your own inquiries as to the suitability of any Service Provider for your particular project. You should not engage any Service Provider or make any deposit or other payment without having performed such checks to your satisfaction.

We may include on the LegoLex Platform information from Service Providers, including general news and information and profiles of individual Service Providers. Any information on the LegoLex Platform is for general information only and is not legal advice. You must take all necessary care to rely on such information, as this is done at your own risk.

In the unlikely event that you have a dispute with a Service Provider, you should direct such dispute directly to the Service Provider in question. However, you agree to notify us of the details of the dispute as soon as reasonably possible. Once we receive information about the dispute between the Service Provider and you, we will conduct an investigation into the case and provide the parties with our conclusion, which is not legally binding.

6. Your Use of Legolex

You are responsible for ensuring that you have the legal right to submit to LegoLex any information you include in a Service Request. You may use LegoLex to search for legal services by searching our database of Service Providers and contacting them directly or by issuing a genuine Project Service Request where you have authority to hire a Service Provider and intend to do so subject to appropriate terms being agreed. You may not issue Service Requests for any Project that is unlawful or illegal.

We will make all reasonable efforts to maintain the security of the LegoLex Platform, but you acknowledge that the LegoLex Platform may be subject to security breaches and that we shall have no liability for loss of data, including Service Requests or unavailability as a result of any attack or assault on your security or any attempt to disrupt the LegoLex Platform.

You agree not to use the LegoLex Platform illegally and, in particular, not:

a. include in any Service Request or Review any information that infringes any patent, trademark, copyright, trade secret or other intellectual property right or proprietary right of any person or that violates any legal obligation owed to any other party;

b. send corrupt files, files containing viruses or any other item that could damage the functioning of a computer or other electronic device;

c. impersonate another person or entity;

d. Falsify or delete any author attributions, legal or other appropriate notices or proprietary designations or labels on any material contained in a Service Request;

e. cause the LegoLex Platform to be interrupted, damaged, diminish its efficiency or the effectiveness or functionality of the LegoLex Platform to be affected in any way;

f. restrict or inhibit any other user from using and benefiting from the LegoLex Platform;

g. attempt to gain unauthorized access to the LegoLex Platform or any network, server or computer system connected to the LegoLex Platform;

h. collect or otherwise collect non-public information about another user obtained through the LegoLex Platform (including email addresses), without the prior written consent of the owner of the rights to such information;

i. reproduce, redistribute, sell, create derivative works, decompile, reverse engineer or disassemble all or part of the LegoLex Platform, except to the extent expressly permitted by law that cannot be legally excluded.

You should not include in any Request for Services any personally identifiable information about another person, unless you have the right to do so.

You agree not to copy, reproduce, modify, create derivative works, distribute or publicly display any content of the LegoLex Platform without our prior written permission.

7. Links

It is not possible for us to review all of the websites to which you link from the LegoLex Platform (or from which you link to LegoLex), so you should be careful when following any link. We cannot accept responsibility for any loss or damage you may suffer as a result of following any link.

8. Use of Service Request

You are solely responsible for the content, accuracy and completeness of each Service Request you submit to LegoLex, and agree that it will only contain true, accurate and up-to-date information.

You acknowledge that we may edit, modify or delete any part of a Service Request that we believe violates any provision of the Terms, and/or suspend or terminate your access to LegoLex without notice.

By providing a Service Request, you grant us a royalty-free, perpetual, irrevocable and non-exclusive license to use, copy, reproduce, modify, publish, edit, translate, distribute and display the Service Request, alone or as part of other works on the LegoLex Platform, anonymously for our general commercial and promotional purposes. You warrant that you have the right to grant such a license. Do not include in any Service Request any information that you do not want us to use in this way.

You consent to the information about the device you use to access LegoLex being collected and processed for fraud prevention purposes and acknowledge that we may use third parties (and the information they provide to us) to help us prevent fraud or unauthorized access to our Service.

9. Reviews

After instructing a Service Provider through LegoLex, you will be given the option to complete a review of that Service Provider (“Review”). You are solely responsible for the content of any reviews you provide. You agree to ensure that all Reviews you submit are in accordance with this section 9, and you will indemnify us against any claims we may receive as a result of your failure to comply with this section 9. You confirm that any review you provide does not contain any illegal or inappropriate content. All Reviews will be programmed to check for illegal or inappropriate content, including but not limited to content that is:

– threatening;

– obscene;

– sexually explicit;

– incitement to racism, hatred or terrorism; and/or

– offensive.

To the extent that all or any part of a Review contains potentially illegal or inappropriate content, we may, in our sole discretion, remove it in whole or in part, or remove all or any part of a Review. We are under no obligation to notify you of this decision.

By providing a Review, you confirm it: (i) the Review is your independent, honest and genuine opinion of an attorney you have instructed through LegoLex, (ii) you have no personal or business relationship with the attorney being reviewed, and (iii) you have not been offered any incentive to write the Review. You acknowledge that we offer the attorney a right of reply, which is subject to the attorney’s usual confidentiality obligations.

Any review you provide will be visible to LegoLex users. We reserve the right, without notice, to edit or delete your Review when we have reason to believe that it violates any of these Terms, or to take steps to protect ourselves or others, or if required by law or any competent authority. We are not responsible if your review is misused by third parties, as this is beyond our reasonable control.

We do not endorse or recommend any Review and you rely on the information in any Review at your own risk.

10. Intellectual Property Rights

You acknowledge that all present and future copyrights and other intellectual property rights that subsist or are used in connection with LegoLex and any part thereof (the “Intellectual Property”), including, but not limited to, the content of any Review and the manner in which LegoLex is presented or appears, and that all information and documentation relating thereto is owned by us (or our licensors), and that nothing in the Terms shall be construed to transfer intellectual property to you.

For the sole purpose of receiving LegoLex, we hereby grant you a non-exclusive, non-transferable license to use the Intellectual Property during the period in which it is provided to LegoLex.

To the extent that the copyright and/or other intellectual property rights in the content of any review you provide do not belong to us, you grant us a worldwide, perpetual, irrevocable, non-exclusive, transferable, fully sublicensable license to use, copy, alter, display and create extracts from, or derivative works of, that review in any media format, on LegoLex, on our other channels, including mobile, email communications, social media, public relations, contests and press releases, and also on third party media, including for purposes of redistribution or promotion of LegoLex. You are not entitled to the payment of royalties or any other compensation or fee related to such use of a Review. You waive your moral rights with respect to such review to the extent permitted by law. You also grant each of the other LegoLex users a license to use your review to the extent expressly permitted by these terms and conditions.

11. Limitation of Liability

Nothing in the Terms shall exclude or limit our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be legally excluded or limited. If you access the LegoLex Platform as a consumer, your legal rights will not be affected.

If you are dissatisfied with LegoLex, or with the terms of use of LegoLex, your only recourse under the Terms will be to discontinue using LegoLex. Without limiting the foregoing, we shall have no liability for any failure or delay resulting from any matter beyond our reasonable control.

Except as set forth in the two preceding paragraphs, and unless you are a consumer, we shall not be liable in contract, tort, negligence, legal obligation, misrepresentation, or otherwise for any loss or damage arising out of or in any way related to the Terms. If you are a consumer, we will only be liable for any loss that is a reasonably foreseeable loss.

Except as expressly set forth in the Terms, all conditions, warranties and obligations that may be implied or incorporated into the Terms by law, common law or otherwise, and any liability arising therefrom, are expressly excluded to the extent permitted by law.

We will not be liable for any loss of business, loss of data, loss of profits, business interruption, loss of business information, or any other economic loss (even if we have been advised of the possibility of such loss or damage).

However, we will ensure that we do everything possible to mitigate the negative effects that the losses in our power are causing.

We cannot guarantee and take responsibility that files transferred by any user to another user are free of viruses or any other type of malicious software, although we are taking all reasonable steps to ensure that such files are tested with anti-virus technologies.

12. Our Rights

We reserve the right at all times to edit, refuse to post or remove from LegoLex any information or material for any reason, and to disclose any information we deem appropriate to satisfy any obligation we may have under applicable laws, regulatory requirements, legal process, or to satisfy any request from the police, the government or any regulatory body (including the relevant authorities of the legal profession).

We reserve the right to terminate the provision of LegoLex or restrict your access to LegoLex at any time without notice for any reason, even if we suspect that you have breached any of the Terms.

We may vary the terms of the Terms from time to time and will post such alterations on the Site. If you do not agree to the changes made to the terms of the Terms, you have the right to stop using the Service, and you must do so immediately. Continued use of LegoLex after the date of publication of the changes will constitute acceptance of the modified Terms.

13. Confidential Information

Confidential Information means all information, whether written or oral and in any medium, relating to the business, products, financial and management issues, customers, employees or authorized agents, plans, proposals, strategies or trade secrets disclosed by you to us.

We will not use or ensure that our employees do not use, copy or disclose your Confidential Information, except to exercise our rights and fulfill our obligations under this Agreement.

This clause does not apply to any Confidential Information that is or becomes available to the general public, except as a result of any of our acts or omissions; that is already in our possession or becomes available to us from a person who is in lawful possession of the information and who has no obligation of confidentiality with respect to the information; or that must be disclosed by any court, government or administrative authority competent to require its disclosure.

Nothing in this clause shall prevent or restrict LegoLex from:

a. reproduce the Service Request to the Service Provider for the purpose of providing the service; and/or

b. obtain from the Service Provider and use for the purposes of this Agreement details of the Service Provider’s Fees.

14. General

Section headings are inserted for convenience only and will not affect the interpretation of the Terms.

If any of the Terms is deemed unlawful or unenforceable, such provisions shall be severed and the remainder of the Terms shall remain in full force and effect unless the business purpose of the Terms is substantially frustrated, in which case it shall be terminated without giving rise to any other liability.

You may not assign, transfer or subcontract any of your rights under the Terms without our prior written consent. We may assign, transfer or subcontract all or part of our rights at any time without consent.

No waiver will be effective unless in writing, and no waiver will constitute a continuing waiver to prevent us or you from acting on any continuing or subsequent breach or default.

15. Applicable Law

Applicable law to these terms and conditions is Spanish Law.

16. Jurisdiction

In case of a legal dispute, the case will be tried in the courts of Madrid.
